Rocket Internet SE has purchased 9,724,739 own shares through its public share purchase offer

Berlin, May 4, 2018 – Based on the public share purchase offer by Rocket Internet SE, a total number of 9,724,739 shares have been tendered to the company during the acceptance period. This comprises 6,800,000 shares tendered by PLDT Online Investments Pte. Ltd. (corresponding to 67.38% of the total number of shares held by PLDT Online Investments Pte. Ltd. in Rocket Internet SE).
The offer by Rocket Internet related to a maximum of up to 15,472,912 shares (ISIN DE000A12UKK6 /WKN A12UKK) corresponding to a maximum of up to 9.37% of the company’s registered share capital. Since a total of 9,724,739 shares were tendered during the acceptance period, all purchase offers could be accepted. The custodian banks will transfer the tendered shares from the customer accounts against payment of the offer price presumably between May 9, 2018 and May 14, 2018.
In consideration of the 1,041,167 shares (corresponding to a portion of 0.63% of the registered share capital of the company) that were acquired by the company between August 14, 2017 and April 16, 2018 through the share buy-back program, the company now holds a total of 10,765,906 own shares corresponding to 6.52% of the company’s registered share capital. The company will cancel all of the shares bought back by way of a reduction of the share capital.
